User agreement, rules of access, and subscription commitment terms for OMN platforms, editorial titles, and professional SaaS backoffice tools.

1. Introduction & Acceptance

Agreement to Terms

Welcome to Open Media Network (OMN). By accessing or using our websites (omngroup.com), our editorial titles, mobile applications, newsletters, backoffice portals, or professional SaaS and media products (collectively, the "Services"), you agree to be bound by these Terms & Conditions ("Terms"). If you are using our Services on behalf of an organization or corporate entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to all of these Terms, you must immediately discontinue your use of the Services.

Operating Entities

The Services are operated by affiliated entities depending on your geographic location and the specific product or title you access:

  • United States & Americas: OMN Group LLC (254 Chapman Rd, Ste 208, Newark, DE 19702).
  • European Union, UK & International: OMN Media Management LTD (Unit 3D, North Point House, North Point Business Park, New Mallow Road, Cork, Ireland).

2. Changes to Terms

We reserve the right to modify, amend, or update these Terms at any time to reflect operational, legal, or regulatory changes.

We will post the updated Terms on this page and revise the "Last reviewed" date above.

For material changes that significantly affect your rights or obligations, we will provide advance notice through the site, via our backoffice portal, or by email where appropriate.

Continued use of the Services after any modifications indicates your acceptance of the updated Terms.

3. Account Registration & Mandatory Subscription Commitment

Backoffice & Professional Products

Certain OMN products (such as OMN Wire, OMN Performance Press, OMN SocialManager.ai, OMN Open Media OS CRM, and the OMN backoffice) require account registration. When creating an account, you agree to:

  • Provide accurate, current, and complete information (including your real name, valid work email, role, and organization).
  • Maintain and promptly update your account information to keep it accurate and secure.
  • Maintain the strict confidentiality of your password and access credentials. You are entirely responsible for all activities that occur under your account.
  • Notify us immediately at operations@omngroup.com or via security channels if you suspect any unauthorized access or security breach.

3-Month Minimum Subscription Commitment & Non-Use Policy

By registering, subscribing, or joining our platform and professional services, you explicitly agree to a mandatory minimum subscription commitment:

  • Commitment Term: Every subscription or paid plan entails a binding initial commitment period of three (3) consecutive months.
  • Payment Obligation: If any user joins our platform, they must pay for and continue their subscription for the full next three (3) months, regardless of whether they actively use the platform, access the tools, log into the backoffice, or consume the services.
  • Non-Use Does Not Exempt Payment: Failure to utilize the platform, lack of activity, or a decision to stop engaging with OMN tools does not waive, cancel, or reduce your financial obligation for the remainder of the 3-month commitment window. All subscription fees covering this period are non-refundable.

We reserve the right to suspend or terminate any account at our discretion if we detect fraudulent activity, credential sharing, payment defaults, or violations of these Terms.

4. Acceptable Use Policy

When interacting with OMN websites, tools, comment sections, fact-check submissions, or professional platforms, you agree not to:

  • Violate Laws: Breach any applicable local, national, or international law, regulation, or court order.
  • Infringe Rights: Violate or infringe the intellectual property, privacy, publicity, or contractual rights of OMN or any third party.
  • Disrupt Systems: Attempt to probe, scan, or test the vulnerability of any OMN system, network, or security measure, or bypass any technological access controls or rate limits.
  • Malicious Code: Transmit any viruses, malware, worms, trojan horses, or other disruptive code designed to damage, hijack, or impair software, hardware, or telecommunications equipment.
  • Scrape & Harvest: Use automated scrapers, spiders, or bots to harvest data, email addresses, or content from our databases or editorial titles without prior written authorization, except as permitted by standard public search engines or explicit API agreements.
  • Harass & Abuse: Post, upload, or transmit defamatory, harassing, abusive, threatening, obscene, or hateful content, or engage in coordinated campaigns to manipulate OMN polling, fact-checking submissions, or commenting systems.
  • Impersonate: Misrepresent your identity, affiliation with OMN, or relationship with any individual or corporate entity.

5. Intellectual Property & Copyright

Ownership

All content, design, text, graphics, logos, icons, images, audio clips, video clips, data compilations, software architecture, and underlying source code published on or through the Services are the exclusive property of OMN Group LLC, OMN Media Management LTD, or our content licensors, and are protected by United States, Irish, European Union, and international copyright and trademark laws.

Permitted Private Use

You may view, download, and print pages or articles from our public sites for your own personal, non-commercial use, provided that you:

  • Do not modify the content or remove any copyright, trademark, or proprietary notices.
  • Do not systematically download, store, or redistribute large volumes of content.

Commercial & Syndication Restrictions

Any commercial use, reproduction, republication, framing, syndication, or redistribution of OMN journalism, data feeds, wire copy, or software requires the prior written consent of OMN or a valid licensing agreement (such as through OMN Wire or OMN Custom Concepts). Requests can be directed to press@omngroup.com or operations@omngroup.com.

6. User-Generated Content & Submissions

If you submit, upload, or email content to OMN—including comments, press tips, fact-check requests, corrections, or feedback—you grant OMN a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, adapt, publish, translate, and distribute such content in connection with our journalistic and business operations.

You represent that you own or have the necessary rights to submit such content and that it does not violate any third-party rights or laws.

OMN is under no obligation to publish, retain, or respond to any unsolicited submissions, tips, or commentary.

7. Editorial Standards & Disclaimers

Independence & Journalism

OMN is an independent news organization. Our reporting, editorial titles, and OMN FactCheck divisions operate in strict alignment with our published Editorial Code & Publication Standards and Disclosure Policy.

No Financial, Legal, or Professional Advice

Content published across OMN titles, newsletters, and tools—including financial analysis, market reporting, software metrics, and technology reviews—is provided for informational and educational purposes only.

Nothing published by OMN constitutes formal financial, investment, legal, tax, or medical advice.

You should consult qualified professional advisors before making business, investment, or legal decisions based on information found on our platforms.

Our websites and tools may contain links to external third-party websites, social media platforms, or partner services that are not owned or controlled by OMN.

9. Disclaimers of Warranties

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OMN GROUP LLC, OMN MEDIA MANAGEMENT LTD, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Warranties that the Services will be uninterrupted, secure, error-free, accurate, reliable, or free of viruses or harmful components.
  • Any warranty regarding the results that may be obtained from the use of OMN tools, SaaS platforms, or editorial reporting.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OMN GROUP LLC, OMN MEDIA MANAGEMENT LTD, OR THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES—INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION—ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to, use of, or inability to use the Services.
  • Any conduct or content of any third party on the Services.
  • Unauthorized access, use, or alteration of your transmissions or data.

In jurisdictions where limitations of liability for consequential or incidental damages are not permitted, OMN's total aggregate liability to you for all claims arising out of or related to these Terms shall not exceed the greater of one hundred U.S. dollars ($100 USD) or the amount you paid to OMN (if any) for the specific service in the past six months.

11. Indemnification

You agree to defend, indemnify, and hold harmless OMN Group LLC, OMN Media Management LTD, their affiliated entities, editors, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal and accounting fees) arising out of or in any way connected with:

  • Your breach or violation of these Terms (including failure to fulfill the 3-month subscription payment commitment) or any applicable law.
  • Your misuse of the Services, backoffice accounts, or professional SaaS products.
  • Content you submit, post, or transmit through our platforms.
  • Your violation of the rights of any third party.

12. Governing Law & Dispute Resolution

United States Users

For users interacting primarily with U.S.-facing titles or services operated by OMN Group LLC, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Delaware.

European Union, UK & International Users

For users interacting with European titles or services operated by OMN Media Management LTD, these Terms shall be governed by the laws of the Republic of Ireland, without prejudice to any mandatory consumer protection regulations applicable in your country of residence within the EU/EEA or UK.

13. Termination

We may suspend or terminate your access to all or any part of the Services at any time, with or without cause, and with or without notice, effective immediately. Upon termination:

  • Your right to use the Services and backoffice accounts will cease immediately.
  • Termination does not relieve you of your financial obligations regarding any unexpired portion of the mandatory 3-month subscription commitment period outlined in Section 3.
  • Provisions of these Terms that, by their nature, should survive termination (including intellectual property ownership, payment obligations, disclaimers, indemnity, and limitations of liability) shall continue in full force and effect.
